Sunryde Inc Terms and Conditions

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION THAT AFFECTS YOUR RIGHTS, REMEDIES, AND OBLIGATIONS. THEY INCLUDE A MANDATORY ARBITRATION AGREEMENT (WITH THE OPTION TO OPT OUT) AND A PROHIBITION ON CLASS AND REPRESENTATIVE ACTIONS, AS WELL AS NON-INDIVIDUALIZED RELIEF IN BOTH COURT AND ARBITRATION. THESE TERMS ALSO CONTAIN VARIOUS LIMITATIONS AND EXCLUSIONS, A CLAUSE SPECIFYING THE JURISDICTION, VENUE, AND GOVERNING LAW FOR DISPUTES (EXCEPT WHERE PROHIBITED BY LAW), AND REQUIREMENTS TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS.


Welcome to Sunryde, a peer-to-peer marketplace platform designed to connect micromobility mobility owners ("Owners") with renters ("Renters"). Sunryde is accessible online, including at sunryde.com, and as a mobile application. The Sunryde websites, blog, mobile applications, and associated services are collectively referred to as “the Services.” By accessing or using the Services, including by communicating with us or other Sunryde users, you agree to comply with and be legally bound by the provisions of these Terms of Service (these “Terms”), whether or not you become a registered user of the Services.


These Terms govern your access to and use of the Services and constitute a binding legal agreement between you and Sunryde. These Terms, along with the cancellation policy, nondiscrimination policy, applicable insurance terms and certificates, roadside assistance terms, and other related policies (collectively referred to as the "Policies"), form the "Agreement" between you and Sunryde (each a "Party" and collectively the "Parties"). Additionally, Sunryde provides a Rental Agreement that outlines the terms of each booking, which is accessible within the platform for both current and past rentals and serves as proof of your reservation.


Modifications

Sunryde reserves the right to make changes to the Services or the Agreement, including these Terms, at any time at our discretion. If we make changes, we will post the updated Terms on the platform and update the "Last Revised" date. By continuing to use the Services after the changes are posted or after you receive a notification of the changes, you agree to be bound by the updated Terms. If you do not accept the revised Terms, your only option is to stop using the Services and close your Sunryde account within 30 days. If you close your account, the last version of the Terms that applied before the changes will govern your usage, unless you continue using the Services during the 30-day window, in which case the new Terms will apply.


Eligibility, Registration, Validation


Eligibility


The Services are intended solely for users who meet our eligibility requirements in the location where the mobility is booked. Renters must be at least 15 years old. If under 18, Renters must provide a valid ID; if 18 or older, a valid driver's license or ID is required to rent. Hosts must be at least 15 years old to list mobilities on the platform. Any use of the Services by individuals who do not meet these eligibility requirements is expressly prohibited. To access the platform and rent or host a mobility, users must:


• Be at least 15 years old.

• Have a valid driver's license or valid ID to rent.

• Adhere to all Sunryde policies and guidelines.


Parental Consent:

If the renter is under 18 years of age, their use of the platform requires express consent from a parent or legal guardian. Sunryde does not verify this consent and is not liable for any damages or injuries resulting from a minor's use of the platform. Parents or guardians are fully responsible for the actions and consequences arising from their minor’s use of Sunryde.

Registration


To access certain features of Sunryde’s platform, you must create an account with us (a “Sunryde Account”). You can register by providing your first and last name, email address, mobile phone number, and setting up a password. You also have the option to sign up using a third-party service like Apple, Facebook, or Google. When you book a bike or scooter as a user (“rider”), you'll need to provide additional information about yourself. Similarly, when you list a bike or scooter as an owner (“host”), you will provide details about yourself and your bike(s) or scooter(s).


It is important that the information you provide during the registration, booking, and listing processes is accurate, current, and complete. You are responsible for keeping your Sunryde Account information updated at all times. Based on the information provided, Sunryde may require additional steps to complete a booking, such as providing a security deposit, using a second payment method, or selecting a specific protection plan.


Validation


Sunryde reserves the right, but is not obligated, to conduct screenings, checks, and processes aimed at (1) verifying the identities and backgrounds of users, including checking driving history and validating driver’s licenses, and (2) verifying the details of listed mobilities. Sunryde does not endorse any specific mobility, user, or user background, nor does it commit to any particular screening process. At its sole discretion, Sunryde may use third-party services to verify the information you provide and to obtain additional details or corrections as needed, and you authorize Sunryde to request, receive, use, and store this information. Sunryde has the right to approve or deny your request to rent or list a mobility at its sole discretion. While Sunryde may take steps to ensure the safety of mobilities listed on the platform, it does not make any guarantees, representations, or endorsements about the safety, roadworthiness, or legal status of mobilities shared through the Services. Hosts are solely responsible for ensuring their mobilities are safe, operational, legally registered, free of salvage titles, not subject to safety recalls, and meet Sunryde’s mobility eligibility requirements.


Fees, Taxes and Payments


Sunryde charges a platform service fee ("Platform Fee") for facilitating transactions between Owners and Renters. Additionally, Owners may set their own rental fees for mobilities listed on the platform. The following outlines the key fees and charges applicable to platform use:


Platform-Marketing Fees: Sunryde charges a percentage of each rental transaction as a Platform Fees. This fee covers the operational costs of running the platform and providing support to both Renters and Owners. The Platform Fees will be deducted automatically from the payment made by the Renters and Hosts.


Payment Processing: Sunryde uses a third-party payment processor to handle transactions. You agree to pay all charges associated with your use of the platform and are responsible for providing valid payment information.


Owner Fees: Owners may incur additional fees for optional features like premium listings, insurance, or advanced management tools. These fees will be outlined in the owner dashboard.


Renter Fees: Renters will pay the agreed-upon rental fee set by the Owner at the time of booking. In addition, Renters may be charged late return fees, cleaning fees, or damage fees, if applicable, as determined by the Owner and subject to Sunryde’s policies.


Cancellation Fees: Both Owners and Renters may cancel a reservation according to the platform’s cancellation policy. Depending on when the cancellation occurs, a cancellation fee may be charged to either party.


Operational Fees: If both the renter and host agree to this fee package, they shall pay the rental fee set by the Owner and Host at the time of booking. This fee package may include, but is not limited to, charges for pick-up and drop-off services, GPS usage, repossession costs, and repair fees, as applicable.


Collection of Fees

Sunryde and its service providers will utilize all legal methods available to collect outstanding amounts, including the engagement of collection agencies or legal counsel. Sunryde, or the collection agencies it retains, may report information about your Sunryde account to credit bureaus. Any defaults on your Sunryde account may be reflected in your credit report. In addition to the amount owed, delinquent accounts or chargebacks will incur fees and/or charges related to the collection of such amounts, including but not limited to collection fees, convenience fees, and other third-party charges. If you wish to dispute the information Sunryde reported to a credit bureau (such as Experian, Equifax, or TransUnion), please contact help.sunryde.com. If you wish to dispute the information a collection agency reported to a credit bureau regarding your Sunryde account, you must contact the collection agency directly.


Taxes

In certain U.S. jurisdictions, Sunryde may facilitate the collection and remittance of applicable taxes from or on behalf of renters or hosts, in accordance with current and future tax regulations, including marketplace facilitator laws or micromobility rental regulations. Any taxes collected and remitted by Sunryde will be clearly displayed and itemized for both renters and hosts on their respective rental-related documents and invoices. Where Sunryde is responsible for the collection and remittance of taxes, hosts are prohibited from collecting the same taxes through the platform in relation to their vehicle rentals in those jurisdictions.


Users are responsible for ensuring they comply with all applicable tax obligations, and Sunryde is not liable for any tax discrepancies that arise from the platform's facilitation of transactions



Your Responsibilities


Owners are solely responsible for ensuring that:


• The vehicle listed for rent must be properly maintained, safe to ride, free from damages, and compliant with all applicable laws. Any minor wear and tear should be documented after each rental to ensure the renter is not held responsible for pre-existing conditions.

• Sunryde does not verify the safety, roadworthiness, or legal compliance of any vehicles listed on the platform and is not responsible for any accidents, injuries, or damages arising from the use of vehicles rented through the platform. It is the sole responsibility of the Owner to ensure that their vehicle meets all applicable safety and legal standards. Renters must perform a visual inspection of the vehicle before each rental to verify its condition and ensure their safety.

• Any terms and conditions they impose on Renters (such as rental duration, allowed usage, and maintenance) are clearly communicated and adhered to by Renters.


• They manage the scheduling, pickup, and drop-off of their mobilities with Renters or Sunryde. Owners acknowledge that they are acting independently and not as employees, agents, or contractors of Sunryde. You agree to use your Sunryde account and the Services in full compliance with these Terms, applicable laws, and any other policies or standards provided by Sunryde.


Account Activity

You are solely responsible for all activity that occurs under your Sunryde account. It is your responsibility to keep your account information, including your password, secure. You agree not to share your password with any third party and to take full responsibility for any actions or activities that occur under your account, whether or not you have authorized them. If you become aware of or suspect any unauthorized use of your account, you must notify Sunryde immediately. Sunryde is not responsible for any failure on your part to comply with this obligation, nor for any delay in protecting or shutting down your account if you have not reported unauthorized access to us.


Sunryde Content and User Content License

Subject to your compliance with these Terms, Sunryde grants you a limited, revocable, non-exclusive, non-transferable license to access and view any Sunryde and/or user content you are allowed to access, strictly for your personal and non-commercial use. You do not have the right to sublicense the license granted in this section. No licenses or rights are provided to you by implication or otherwise under any intellectual property rights owned or controlled by Sunryde or its licensors, except for those expressly granted in these Terms.


User Content

User Content

At our discretion, Sunryde may allow you to post, upload, publish, submit, or share content through the Services, such as photos of yourself or your vehicle(s), reviews, feedback, and descriptions of your vehicles or experiences. By sharing any content on or through the Services, or via Sunryde’s promotional campaigns, you grant Sunryde a worldwide, irrevocable, perpetual (or for the duration of protection), non-exclusive, transferable, royalty-free license, including the right to sublicense, to use, view, copy, adapt, modify, distribute, transfer, publicly display, perform, transmit, stream, broadcast, and otherwise exploit that content on, through, or to promote or market the Services.

You represent and warrant that:

(i) you own or have the necessary licenses, rights, consents, and permissions to upload, post, or share any content you submit, and that the content does not infringe, misappropriate, or violate any third-party intellectual property rights or privacy rights;

(ii) your content does not contain defamatory material, and you are solely responsible for the accuracy and legality of the content you provide.



Indemnification: You agree to indemnify, defend, and hold harmless Sunryde, its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your uploaded content, including but not limited to claims of copyright infringement, defamation, or violation of privacy rights.

Copyright Protection

We respond to claims of copyright infringement and will terminate Sunryde accounts of repeat infringers in accordance with applicable copyright laws. If you believe another user is infringing your copyright(s), you can find information on how to notify us here.


Google Terms.

Certain features of the Services use Google Maps/Places mapping services, including the Google Places API. Additionally, to help prevent spam and abuse, Sunryde has implemented reCAPTCHA Enterprise, a Google service. By using Sunryde’s Services, you agree to be bound by Google's Terms of Service.


Prohibited Activities


When using or accessing the Services, you agree not to, nor encourage, request, or assist any third party to:


Harassment, Defamation, and Abuse

Do not harass, stalk, threaten, defame, or collect/store personal information about other users, except as necessary for transactions. Any such behavior will result in immediate suspension or termination of your account, at Sunryde's sole discretion.

Sunryde reserves the right to suspend or ban any user engaging in harmful, abusive, or illegal behavior and will cooperate with law enforcement when appropriate. However, Sunryde is not responsible for any disputes, harm, or damages resulting from interactions between users. Users are encouraged to resolve disputes directly, and Sunryde disclaims any liability arising from user interactions or behaviors

Violate Any Law


Legal Compliance: Do not breach, violate, or circumvent any local, state, provincial/territorial, regional, or national laws or regulations, including court orders, airport regulations, tax laws, licensing or registration requirements, or third-party rights.


Content Standards: Avoid posting false, inaccurate, misleading, defamatory, or libelous content.


Intellectual Property: Do not infringe, reproduce, perform, display, distribute, reverse engineer, or create derivative works from content owned or licensed by Sunryde or other users, including materials protected by copyrights, trademarks, patents, privacy, publicity, moral, or contractual rights, unless you have explicit written permission from Sunryde. Dilute, Tarnish, or Harm the Sunryde Brand


Unauthorized Use: Refrain from using the Services or user content in unauthorized ways.


Trademark Misuse: Do not register or use "Sunryde" or similar terms in domain names, trade names, trademarks, or other identifiers.


Imitative Practices: Avoid registering or using domain names, trade names, trademarks, social media handles, or other identifiers that closely resemble or are confusingly similar to Sunryde’s domains, trademarks, taglines, promotional campaigns, or user content. Provide or Submit False or Misleading Information


Personal Information: Do not provide false names, dates of birth, driver’s license details, payment methods, insurance information, or other personal data.


Claims: Avoid making false claims, such as those related to damages or incidents.


Account Registration: Do not register a Sunryde account on behalf of someone else or an entity you do not represent.


Impersonation: Do not impersonate any person or entity or misrepresent your affiliation with any individual or organization. Fail to Honor Your Commitments


Financial Obligations: Ensure timely payment of fees, penalties, or any amounts owed to Sunryde or other users.


Service Delivery: As a guest or host, promptly deliver, make available, or return any micromobility vehicle and any optional Extras unless you have a valid reason for delay.


Circumventing the Platform: Do not use the Services to arrange transactions outside of Sunryde’s platform to avoid fees (commonly known as gray market transactions).


Account Transfer: Do not transfer your Sunryde account or user ID to another party without our consent.


Vehicle Security: Do not leave a vehicle unlocked or running with the keys inside unless explicitly instructed by Sunryde under specific circumstances. Harm or Threaten to Harm Users of Our Community


Harassment and Defamation: Do not harass, stalk, defame, or collect/store personal information about other users except as necessary for transactions.


Abusive Conduct: Refrain from physically or verbally abusive or threatening behavior.


Privacy Invasion: Do not use the Services to share, distribute, post, or submit information about others without their permission, including photos, contact information, payment details, or account numbers.


Discrimination: Treat all individuals equally, regardless of appearance, relationships, beliefs, self-identification, origin, or age. Discrimination of any kind is prohibited within the Sunryde community.


Legal Claims: Do not sue or assert legal claims against Sunryde or other users in ways that are prohibited or waived by these Terms. Use the Services for Unrelated Purposes


Unauthorized Contact: Do not contact other users for purposes unrelated to bookings, vehicle listings, or using the Services.


Commercialization: Avoid commercializing any content or software associated with the Services, including reviews.


Data Harvesting: Do not collect information about users without their and our consent, such as conducting unauthorized background checks.


Recruitment for Competitors: Do not solicit users to join third-party services or websites that compete with Sunryde without prior written approval. Interfere with the Operation of the Services


Listing Interference: Do not interfere with other users’ vehicle listings.


Spam and Unsolicited Messages: Avoid using the Services to distribute unsolicited commercial messages (e.g., spam).


Malicious Technology: Do not distribute viruses or other harmful technologies (e.g., bots, Trojan horses, harmful code) that could disrupt or interfere with the Services or harm Sunryde or others.


System Overload: Refrain from imposing unreasonable or disproportionately large loads on Sunryde’s infrastructure.


Data Scraping: Do not systematically retrieve data or content from the Services to create compilations, databases, or directories, whether manually or using automated tools like bots or crawlers.


Service Mimicking: Avoid using, displaying, mirroring, or framing the Services or any of Sunryde’s proprietary information (e.g., trademarks, logos) without explicit written consent.


Unauthorized Access: Do not access, tamper with, or use non-public areas of the Services, Sunryde’s computer systems, or the technical delivery systems of service providers.


Security Breaches: Do not attempt to probe, scan, test the vulnerability of Sunryde’s systems or networks, or breach any security or authentication measures.


Technological Circumvention: Refrain from bypassing, removing, deactivating, impairing, or circumventing any technological measures implemented to protect the Services.


Information Forgery: Do not forge any TCP/IP packet headers or any part of the header information in emails or other postings, or use the Services to send altered, deceptive, or false source-identifying information.


Software Reverse Engineering: Do not attempt to decipher, decompile, disassemble, or reverse engineer any software used to provide the Services.


Account Circumvention: Do not attempt to circumvent the suspension, termination, or closure of your Sunryde account or another user’s account, including by creating new accounts or listing vehicles affiliated with suspended or terminated accounts. Other Legal Matters


Violations: Sunryde reserves the right, but is not obligated, to investigate, pursue, and seek to prosecute or refer violations of these Terms to law enforcement to the fullest extent permitted by law.


Content Removal and Account Termination: Sunryde may, at any time and without prior notice, remove or disable access to any content deemed objectionable, violating these Terms, or harmful to the Services or community. If you are found to be abusing Sunryde or violating these Terms, Sunryde may, at its sole discretion, limit, suspend, or terminate your account and access to the Services, remove your content, deny claims, demote your listings, adjust discounts, and take technical or legal steps to prevent further use of the Services. Additionally, Sunryde reserves the right to refuse or terminate access to the Services for any reason, to the fullest extent permitted by applicable law.


Policy Enforcement: When addressing issues, Sunryde may consider your performance history and specific circumstances. We may choose to enforce policies more leniently to act appropriately, at our sole and absolute discretion.


Communications with You: You agree that Sunryde may contact you electronically (e.g., email, in-app notifications) instead of mailing notices. To communicate more efficiently, Sunryde may also contact you using autodialed or prerecorded calls or text messages to your phone numbers. These communications will not be for marketing purposes but to confirm signups, notify you about your account or activities, investigate or prevent fraud, collect debts, or communicate urgent messages. Sunryde may share your phone numbers with service providers assisting us in these matters but will not share them with third parties for their own purposes without your consent. Standard telephone, text, and data charges may apply. If required, you may revoke your consent for such communications. Sunryde may contact you any day and time related to the above purposes.


Monitoring and Recording: You authorize Sunryde and our service providers to monitor or record telephone conversations or web chat interactions you or anyone acting on your behalf has with Sunryde or its agents for quality control, training, or other purposes. You understand that your communications with Sunryde may be overheard, monitored, or recorded. If you do not wish to have your calls recorded, please contact us in writing through help.sunryde.com. If you prefer not to have your chat activity recorded or monitored, please do not use the chat function on the Services.


Non-Disparagement: Both parties agree not to take any actions that could harm the reputation of the other party or lead to unwanted or unfavorable publicity for either party.


Insurance and Protection Plans: Sunryde is not an insurance company and does not provide any form of insurance coverage for hosts or guests. Protection plans offered through the platform are optional services provided for convenience only and do not replace or function as an insurance policy. These protection plans are limited in scope and coverage and should not be considered comprehensive insurance coverage for damages, theft, or liabilities.

Protection Plan does not cover all types of damages, such as willful or reckless misuse by renters.

By using Sunryde’s protection plans, you acknowledge that Sunryde assumes no insurance liabilities, and all claims, exclusions, and limitations related to the protection plans are clearly outlined in the relevant plan documentation. Hosts and guests are encouraged to maintain their own insurance coverage as necessary to protect their vehicles and personal liability.

Protection plans are available through the Services only in the United States, the United Kingdom, Canada (excluding Manitoba and Saskatchewan), France, and Australia. All exclusions and limitations are prominently displayed in the plan documentation. Please refer to the specific terms for guests and hosts below for additional information based on your use of the Services.


Required Terms for Renter


Rider of Cancellation

When booking a bike or scooter through Sunryde, you agree to meet all legal requirements, including providing proof of a valid license if necessary. You are responsible for treating the bike or scooter and any additional items (like accessories) with care and ensuring they are returned on time and in the same condition they were received. You are also prohibited from allowing anyone not listed as an approved rider in the booking to use the bike or scooter.


For Renter from Other Countries or a Guest

For users located in the European Economic Area or the United Kingdom, there is no right to cancel a transaction made on the Sunryde platform, as the right of withdrawal does not apply to transportation bookings or services scheduled for a specific date. Your rights are limited to those outlined in our cancellation policy. However, riders can adjust any protection plan chosen for their booking prior to the start of the reservation.


Renter from Other Country or Guest their Financial Responsibility for Physical Damage


The rider who books the trip ("primary rider") is financially liable for any physical damage to or theft of the bike or scooter during the rental period, along with any additional costs resulting from the damage, regardless of fault. This responsibility applies whether or not the primary rider has personal insurance coverage.


If the primary rider has their own insurance policy, it may provide coverage for damage to the rented bike or scooter. By booking through Sunryde, you agree to cooperate with Sunryde in making any necessary claims for coverage under your insurance policy if damage occurs.


To reduce out-of-pocket costs in the event of damage, the primary rider can opt for a protection plan when booking. These plans limit the amount the rider is responsible for, provided they follow the platform’s terms and conditions. The protection plan covers physical damage but does not include mechanical or interior damage. The rider may modify the protection plan before the start of the trip by adjusting the booking.

Bike or Scooter Liability Insurance and Legal Protection

Hosts offering a bike or scooter for sharing on the Sunryde platform cannot provide liability insurance directly to riders. For all trips originating within the US, Sunryde includes coverage under a bike or scooter-sharing liability insurance policy, provided by a licensed US insurer. This insurance covers third-party legal responsibility in the event of an accident or damage during the rental period.


The policy does not cover any claims made against Sunryde itself, but it offers liability protection for riders and hosts during the trip. Terms and exclusions apply, and riders are encouraged to review the details of the insurance coverage before booking. If a rider has personal liability or insurance coverage, it will generally take priority over the Sunryde-provided liability insurance, depending on the specific circumstances and applicable laws. For any professional or commercial use of the bike or scooter, the Sunryde-provided liability insurance will act as secondary coverage to any existing personal or commercial policies.


Use of the Vehicle


• When you book a bike or scooter or scooter through the Services, you must use the vehicle solely for personal or professional purposes. You are not permitted to access to the vehicle before the start time of your rental period, and you must return it on time and to the agreed location. You are required to present the host with a current, valid ID or driver's license, as applicable.


• You must take reasonable care while using the bike or scooter, always operating it safely and in compliance with all applicable laws, including traffic rules and local micromobility regulations. Sunryde reserves the right to terminate your rental at any time if there are concerns regarding your use of the vehicle, and may recover the vehicle on behalf of the host.


• You are required to secure the bike or scooter or scooter with a chain lock or U-lock whenever it is left unattended. Failure to properly lock the vehicle may result in the host refusing future rentals to you. If a host discovers that you failed to lock the vehicle during the rental period, they have the right to refuse to rent the vehicle to you in the future, and you may be held fully responsible for any loss or damage that occurs as a result.


• You are expected to wear a helmet when using the bike or scooter or scooter, as required by law, and ensure that you follow all safety regulations. Do not leave the vehicle unsecured or unattended in an unsafe location. You are prohibited from engaging in any unlawful or improper uses of the vehicle booked through Sunryde. This includes, but is not limited to, reckless riding, using the vehicle for stunts, or riding under the influence of drugs or alcohol. If you misuse a vehicle, you will be fully responsible for any claims, loss, or damage that results, and your protection plan may be voided. Misusing a vehicle or violating these Terms may also reduce your liability coverage to the minimum legal limits or void it altogether.


• If the bike or scooter or scooter is sold to a third party or stolen during the rental period by renter, Sunryde and host reserves the right to report you to the police for theft.


• If the vehicle is returned damaged, you will be charged the necessary repair fees to restore the vehicle to its original condition prior to the rental.


No Responsibility for Shared Vehicles or Personal Belongings

You acknowledge that Sunryde is not responsible and shall not be held liable for the safety, operability, or legal status (e.g., whether the bike or scooter or scooter is reported as stolen or with our reported stolen) of any vehicles shared through the Services. Hosts are solely responsible for ensuring their vehicles are safe, in good working condition, free from any stolen vehicle reports, and meet all vehicle eligibility requirements. You also agree that neither Sunryde nor the hosts are liable for any lost or stolen personal belongings left with the vehicle, or for items taken or damaged during the rental period.


Condition of the Vehicle and Optional Extras

You acknowledge that the bike or scooters and scooters, along with any optional extras offered through the Services, are owned by third parties. Each host is responsible for ensuring their vehicles comply with all legal requirements and for maintaining them in a safe and operable condition. Before starting your rental, please perform a visual inspection of the vehicle. If you notice any pre-existing damage during your inspection, be sure to upload photos of the damage at the beginning of your reservation to ensure you are not held liable. Failure to report any damage you find during the initial inspection may lead to Sunryde or its third-party administrators assuming the damage occurred during your rental period. If, after your initial inspection, you believe the bike or scooter or scooter is not safe to use, do not proceed with the rental. Instead, contact Sunryde’s customer support team immediately for assistance.


Reporting Damage and Incidents

If you have opted for a protection plan when booking your bike or scooter on Sunryde, you must immediately report any damage that occurs during your rental to Sunryde. You can do this by contacting us at help.sunryde.com or email at help@sunryde.com or calling our support team at (213) 474-7933 in the US.


In the case of a collision or significant damage, you are also required to file a report with the local police. You should make all reasonable efforts to gather information from any witnesses and provide a detailed written description of the incident, including the identities and insurance details of all involved parties. You must fully cooperate with any investigations conducted by Sunryde, third-party claims administrators, or insurers.


If the damage is more than minor (such as a small scratch or dent), you may not continue using the bike or scooter without explicit permission from Sunryde. Failing to report the damage promptly or cooperate with the investigation could result in the invalidation of any protection plan benefits you have selected.


Vehicle Theft

The following actions may result in the vehicle you have booked being reported as stolen to law enforcement, which could lead to your arrest, civil and/or criminal penalties, and the voiding of your protection plan:


• Failing to return the bike or scooter at the agreed-upon time and place with the host or as designated in your reservation.


• Not returning the bike or scooter by the end of the rental period without properly extending the reservation through the Sunryde platform.


• Returning the bike or scooter to a location other than the one specified in the reservation or agreed upon with the host. Any damage, loss, or theft occurring before the host inspects the vehicle at the end of the reservation is the renter’s responsibility.


• Misrepresenting facts to the host regarding the booking, use, or operation of the vehicle.


• If the bike or scooter is left unlocked, unattended, or unsecured, and it or any of its components are stolen or damaged during the reservation period.


• Failing or refusing to communicate in good faith with the host, Sunryde, law enforcement, or other authorities about any accident, theft, or vandalism involving the vehicle or failing to cooperate with an investigation into such incidents.


• Operating the bike or scooter using false information, such as a fictitious name, false address, or invalid ID. This includes obtaining the vehicle's keys without the host’s permission or misrepresenting important details related to the booking or operation of the vehicle. The primary renter is responsible for any private investigation costs that Sunryde deems necessary to recover a bike or scooter or scooter that is not returned. Additionally, a $500 administration fee will be imposed if Sunryde or the host reports the vehicle as stolen to law enforcement due to non-return.


Missing Vehicles

If the bike or scooter you booked goes missing or is stolen during the reservation period (or any extended period), you must immediately return the original keys (if applicable) to the host, contact Sunryde at theft@sunryde.com and file a police report as soon as you discover the vehicle is missing, and no later than 6 hours after discovering it has gone missing. We reserve the right to conduct an internal investigation and, if either the renter or host is found guilty of wrongdoing, including but not limited to theft by conversion under U.S. law, both Sunryde and the affected party reserve the right to involve local law enforcement and pursue legal action, including filing a lawsuit for damages. You are also required to fully cooperate with the host, law enforcement, Sunryde, and other authorities in the investigation.


Repossession

Sunryde, its agents, or the host may assist in the repossession of the bike or scooter at the renter’s expense without demand if it is not returned by the end of the reservation, is found abandoned, illegally parked, or used in violation of applicable laws or these Terms. However, Sunryde is not responsible for ensuring that any repossession efforts comply with local, state, or national laws. Hosts are solely responsible for ensuring that all repossession activities adhere to applicable legal requirements.


• Bike or scooters rented through Sunryde may be equipped with features or devices that monitor the vehicle's condition during the rental period. They may also be equipped with a GPS device for safety, theft prevention, and liability purposes. The non-personal data collected may include information such as the vehicle’s location, usage, speed, mileage, battery level, and any diagnostic data (“Vehicle Data”). Use of these features is subject to the terms and conditions of the vehicle manufacturer or the technology provider, which may include warranty exclusions, liability limitations, and terms regarding the sharing of information.


• Unless prohibited by law, you authorize the use, disclosure, and access to the Vehicle Data, and you agree to inform any other rider or passenger about these terms. You release the host and agree to indemnify, defend, and hold harmless the host, the operators of any monitoring devices, wireless carriers, and other service providers, as well as their employees, officers, directors, and agents, from any damages (including incidental and/or consequential damages) to persons or property caused by the failure of the device to function properly or arising from the use of such devices.


Required Terms for Hosts


Host Commitments

As a host on Sunryde, you agree to provide a bike or scooter that is safe, legally owned, and preferably fully insured. The bike or scooter must be in good working condition and free of any major defects or salvage titles. You are responsible for ensuring that the bike or scooter is delivered on time to the rider who is listed as the Approved Rider in the booking. Except for verifying a rider’s identity where necessary, you will not collect any additional personal information, such as insurance details, from the rider at check-in. You are also prohibited from using any information obtained through the platform to gather extra personal data on riders, including conducting background checks. You commit to making sure your listings are accurate and complete, and you will honor all details, including the quoted price. In the case of bike or scooter swaps, you will not force riders to accept a higher-priced or unwanted upgrade. You agree not to cancel a booking in an attempt to charge a higher price.


You must have full ownership to rent out the bike or scooter on Sunryde, and if your bike or scooter is subject to a lease or financing agreement, it is your responsibility to confirm that sharing it through Sunryde does not violate those terms. You also commit to ensuring that any optional Extras offered are safe, clean, and suitable for their intended use. You will not offer a bike or scooter that has been reported as missing or stolen, nor one that is under a safety recall unless the issue has been properly addressed. Your bike or scooter must be fully roadworthy and comply with local regulations, with no illegal modifications. Additionally, you must remove any prohibited items, such as firearms or weapons, before providing the bike or scooter to a rider.


You are entitled to equip your bike or scooter with a GPS system in case of theft. However, you must inform the rider if a GPS system is installed.


If Sunryde needs to retrieve information from third parties (such as toll agencies) on your behalf, you grant us the authority to act as your agent for those purposes.


Sunryde Photography

Sunryde may offer hosts the option to have professional photographers capture images of their bike or scooters and/or themselves with their bike or scooters ("Images"). As the host, you are solely responsible for using these Images in connection with your Sunryde listing, and you agree to stop using the Images if they no longer accurately represent your bike or scooter.


You acknowledge that Sunryde retains full ownership—or exclusive licensing rights, where applicable—of all copyrights, trademarks, and any related intellectual property rights, including publicity rights, worldwide, for these Images. You agree not to challenge or dispute Sunryde’s ownership or registration of these rights.


Sunryde reserves the right to use the Images for advertising, marketing, commercial, or other business purposes on any media platform, whether related to your listing or for broader promotional activities, without further notice or compensation to you. By using Sunryde’s photography service, you waive any rights to royalties or moral rights in the Images.


Additionally, you agree not to use these Images in connection with listing or sharing your bike or scooter on any platform, website, or application outside of Sunryde. At Sunryde's request, you will take any necessary actions to help Sunryde secure and maintain legal protection of the Images.


Bike or Scooter Availability

Once a booking is confirmed, you are required to make the bike or scooter available or deliver it to the rider as per the agreed-upon terms. If you offer the rider the option to pick up the bike or scooter from a specific location, you must accurately provide that location to Sunryde and ensure the bike or scooter is ready for pickup at the designated time and place at the start of the rental period.


To qualify for any protection plans offered through Sunryde, you must verify that the rider has a current, valid ID if required by local regulations and ensure that the name matches the booking details. Additionally, confirm that the individual picking up the bike or scooter aligns with the provided identification.


Release of Liability Agreement

This Release of Liability ("Release") is entered into by and between the undersigned Host or Renter ("Participant") and Sunryde Inc. ("Company"), as of the date signed below.

1. Acknowledgment of Risks

The Participant acknowledges that by using the Sunryde platform, renting, or hosting vehicles, they voluntarily assume all risks associated with participation, including but not limited to:

  • Personal injury or accidents arising from the use of micromobility vehicles (e.g., bikes, scooters, e-bikes).
  • Damage, theft, or loss of personal property or vehicles during the rental period.
  • Third-party injuries or damages caused by the use or misuse of the rented vehicle.

2. Release of Liability for Theft, Damages, and Injuries

The Participant agrees that Sunryde, its affiliates, directors, employees, agents, or partners are not responsible for any of the following, whether arising during or after the rental period:

  • Theft: Sunryde is not responsible for the recovery of stolen vehicles or any financial compensation related to stolen vehicles, parts, or personal belongings.
  • Personal Injuries: Sunryde shall not be held liable for any injuries sustained by the Participant or third parties while using vehicles rented or hosted through the platform.
  • Property Damage: The Participant agrees to waive any claims against Sunryde related to the loss or damage of any personal property, vehicles, or third-party property.

3. Host Responsibilities

Hosts are responsible for ensuring that their vehicles meet all safety standards and legal requirements. Hosts are strongly encouraged to obtain insurance for their vehicles. Sunryde disclaims all liability for the safety, roadworthiness, or condition of any vehicles listed by Hosts.

4. Renter Responsibilities

Renters are responsible for inspecting the vehicle before use and reporting any issues to the Host. Renters must operate vehicles safely and comply with all traffic laws and regulations. In case of accidents, theft, or damage, Renters are responsible for reporting incidents to the Host, Sunryde, and law enforcement within the prescribed timeframe.

5. Indemnification

The Participant agrees to indemnify, defend, and hold harmless Sunryde from any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Any breach of this Release or Sunryde’s terms and conditions.
  • Any injuries, damages, theft, or accidents caused during the rental period.
  • Any third-party claims resulting from the use of the vehicle.

6. Assumption of Risk

By signing this Release, the Participant acknowledges and agrees to assume all risks related to the use of Sunryde’s services and vehicles, including the risks of theft, personal injury, property damage, or other potential liabilities.

7. Governing Law

This Release will be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Release shall be resolved in accordance with Sunryde’s arbitration policy.

8. Agreement to Terms

By signing below, the Participant acknowledges that they have read, understood, and agree to be bound by this Release and Sunryde’s Terms and Conditions.

Pricing, Earnings, and Payments


As a host, you have full control over setting and adjusting the rental price of your bike or scooter. Sunryde will pay you the amount collected from riders who book your bike or scooter, minus any applicable fees owed to Sunryde. A detailed breakdown of these fees is available on the platform.


If you owe any outstanding amounts to Sunryde or any third-party lender, Sunryde reserves the right to deduct these amounts from your earnings, charge your bank account or any saved payment methods on file, and/or issue an invoice for payment.


Payment Processing

In the US, Sunryde uses Stripe for payment processing services. Payments made through Stripe are subject to the Stripe Connected Account Agreement and the Stripe Services Agreement (collectively, the "Stripe Terms"). By receiving payments via Stripe, you agree to comply with the Stripe Terms, which may be updated periodically. Sunryde is not responsible for any delays, errors, or payment holds caused by Stripe. By using Stripe, you authorize Sunryde to access your Stripe Connected Account to facilitate bike or scooter-sharing transactions. You are responsible for providing accurate, up-to-date information to both Sunryde and Stripe (e.g., business name, tax information, contact details), and for updating this information if there are any changes.


Please note that Sunryde and Stripe operate independently, and Sunryde reserves the right to change payment processing providers at its discretion.


Payment Processing



Payment Processing

Sunryde uses Stripe for payment processing in the US. Payments made through Stripe are governed by the Stripe Connected Account Agreement and the Stripe Services Agreement (collectively referred to as the "Stripe Terms"). By using Stripe to receive payments, you agree to comply with the Stripe Terms, which may be updated from time to time.

Payment processing is solely handled by Stripe, and Sunryde has no control over Stripe’s services. Sunryde is not responsible for any delays, errors, losses, or fraud resulting from issues with Stripe’s payment processing. You acknowledge that any disputes or issues regarding payment processing should be directed to Stripe, and not to Sunryde. Sunryde disclaims any liability related to payment errors, delays, or mismanagement caused by Stripe or any other third-party payment processors.

Sunryde is not responsible for delays, errors, or payment holds caused by Stripe.


By utilizing Stripe for transactions on Sunryde, you authorize Sunryde to access your Stripe Connected Account and carry out necessary activities to process payments related to your bike or scooter sharing.


It is your responsibility to ensure that all information provided to both Sunryde and Stripe (such as your business name, tax details, or contact information) is accurate and kept up to date. You acknowledge that Sunryde and Stripe are independent entities, and you are required to update both platforms separately if any of your information changes.


Additionally, you authorize Sunryde to share relevant information and transaction data with Stripe to facilitate payment processing. Sunryde reserves the right to switch payment processors at its discretion.


Bike or Scooter Maintenance

As a host, you are responsible for regularly inspecting your bike or scooter to ensure it is safe and in proper working condition. You must ensure that your bike or scooter is always in a roadworthy, electrical and mechanically sound state, meeting all relevant safety and registration requirements.


You are also obligated to address any recall or safety notice by completing the necessary repairs or actions before making your bike or scooter available for rental. If Sunryde identifies that your bike or scooter does not meet safety or operational standards, we reserve the right to notify you and remove or decline the listing until the issues are resolved. While Sunryde may take steps to verify the safety of bike or scooters listed on the platform, this is not a guaranteed service.


Sunryde Repair Package

If you purchase the Sunryde Repair Package, your bike or scooter(s) will automatically pass the maintenance approval process for hosting after Sunryde conducts a thorough safety and functionality test. Once the bike or scooter passes this inspection, it will be approved for rentals on the platform, ensuring it meets Sunryde’s safety and operational standards.


Co-hosting Tools and Hosting Teams

Sunryde offers co-hosting tools that allow hosts to organize and manage teams of co-hosts. Co-hosts can assist in handling tasks for one or more bike or scooters listed on the platform. A "Co-host" refers to anyone the host collaborates with to manage their bike or scooters, such as friends, family members, employees, or other Sunryde hosts. "Co-hosting services" include any support or assistance provided by co-hosts on behalf of the primary host, helping ensure smooth operations and management of the bike or scooters.


Hosting Team Permissions

When you add a co-host to your hosting team on Sunryde, you are confirming that this co-host is authorized to act on your behalf, based on the level of permission you give them through the co-hosting tools. You are fully responsible for the permissions you assign to each co-host and the authority they have to manage your bike or scooter listings.


Obligations of Hosts and Co-hosts

As a host, you are responsible for your own actions (or lack of actions) and for those of your co-hosts when they perform services on your behalf. You must comply with all relevant laws, rules, and regulations regarding co-hosting services. This may require you to obtain certain permits, licenses, or insurance, and in some cases, co-hosts may be classified as your employees. However, neither hosts nor co-hosts are considered employees of Sunryde. You confirm that you and your co-hosts have all necessary permits, licenses, and insurance.


Relationship Between Hosts and Co-hosts

Any agreement between you and your co-host does not establish an employment or agency relationship between Sunryde and either of you. Additionally, hosts and co-hosts cannot make agreements that conflict with Sunryde’s terms or expand Sunryde’s obligations. Sunryde does not control your actions and is not responsible for mediating disputes between hosts and co-hosts. Sunryde disclaims any liability related to agreements between hosts and co-hosts to the extent allowed by law.


Termination of Co-hosting Services

Hosts can remove co-hosts from their hosting team at any time, and co-hosts can remove themselves as well. Sunryde may also remove a co-host from a hosting team or terminate co-hosting services if you fail to provide up-to-date documents related to the co-host relationship (such as tax or social security forms) when requested. Even after removing a co-host, you are responsible for any actions they took before their removal.


Damage and Insurance

Sunryde does not offer insurance coverage directly through its platform. Hosts and Co-Hosts are encouraged to arrange their own insurance where necessary. Any damage or loss that occurs during a rental transaction is the responsibility of the Renter, unless otherwise agreed upon between the parties. Sunryde may assist in resolving disputes related to damages, but it does not assume liability for any damages or losses that occur during rental transactions.


Reporting Bike or Scooter Damage

If you have not opted out of a protection plan provided by Sunryde and believe that a rider has caused damage to your bike or scooter, you must report the damage as soon as you become aware of it, and no later than 24 hours after the scheduled end of the rental period. You are also required to fully cooperate in any investigation into the damage to ensure it is eligible for coverage under the protection plan. Please follow Sunryde's damage reporting process as outlined in the platform. Sunryde or its third-party claims administrators will investigate to determine if the damage occurred during the rental period and if it qualifies for coverage. If the damage is deemed eligible and you have not opted out of the protection plan, you will be reimbursed accordingly.


Failure to report damage promptly or to cooperate with the investigation may result in a denial of reimbursement or coverage. If any additional damage is found during repairs, you must follow the process for requesting supplemental payment as outlined by Sunryde.


Bike or Scooter Liability Insurance and Legal

Protection For trips originating in the US, Sunryde may offer hosts coverage under a third-party liability insurance policy provided by a licensed US insurer and from theft for additional cost. This policy offers protection for legal liability in the event of an accident or damage during a rental. The policy covers claims made against the host for third-party damages but does not provide defense or indemnification for any claims made against Sunryde itself. Currently, Sunryde operates only in the US, and the liability protection applies solely to trips within the country. If you, as a host, opt into Sunryde's protection plan, you are covered for liability during the rental period as outlined in the terms and conditions of the policy.


Physical Damage to Your Bike or Scooter

As a host on Sunryde, you are responsible for providing your own protection plan to cover any physical damage to your bike or scooter. Sunryde is not liable for any physical damage that occurs to your bike or scooter during a rental. However, to help reduce the financial risk of costly repairs, hosts have the option to purchase the Sunryde Repair Package. This package provides additional coverage for repairs, helping to minimize out-of-pocket expenses in case of damage.


While Sunryde offers the Repair Package as an optional safeguard, it is important to note that it does not serve as a full protection plan, and hosts remain responsible for ensuring their bike or scooter is adequately protected. By using Sunryde's platform, you acknowledge that Sunryde is not responsible for any physical damage to your bike or scooter.


Vehicle Theft and Damage

Sunryde provides tracking tools and resources to assist in locating missing or stolen vehicles. However, Sunryde is not liable for any losses, damages, or failure to recover a vehicle. If a renter fails to return a vehicle as agreed, the host must contact Sunryde and law enforcement to report the theft. Sunryde will assist by offering tracking tools, but the responsibility for recovering the vehicle rests solely with the host. Sunryde's involvement in these situations does not guarantee recovery or compensation for any loss or damage incurred due to the theft or non-return of the vehicle.



Missing or Stolen Bike or Scooter

If you have opted into a Protection Plan through Sunryde and your bike or scooter goes missing, is not returned, or is stolen during the rental period (including any extensions), Sunryde will assist by offering GPS tracking technology but is not liable for the recovery of the bike or scooter or for any losses or damages that result from the theft or non-return. It is recommended that hosts obtain their own insurance coverage for theft and loss protection.


Please note that the Sunryde Protection Plan does not guarantee the recovery of your bike or scooter or reimbursement for its loss. Sunryde’s role is to assist by providing GPS tracking technology for your bike or scooter, which can aid in locating it, but it does not ensure recovery or financial compensation.


Additionally, if your bike or scooter is stolen by the renter or stolen from the renter during the rental period, Sunryde is not liable for any lost or stolen property. It is highly recommended that you have bike or scooter insurance to cover such incidents. It remains your responsibility to ensure proper protection and security measures are in place.


Dispute Resolution and Repair Protection


Pre-Arbitration Dispute Resolution

If a dispute or claim arises between a host and a renter, both parties agree to first attempt to resolve the matter informally by contacting Sunryde with a notice of the dispute, including the nature of the claim and desired resolution. Sunryde will make good faith efforts to facilitate communication between the host and renter to help them reach a resolution. However, Sunryde’s role is strictly limited to facilitating communication and does not include providing legal advice, determining fault, or enforcing any resolution.

Sunryde does not guarantee or warrant that any resolution will be reached and is not responsible for any specific outcome or the fairness of the result. Both parties expressly agree and acknowledge that Sunryde is not liable for the final resolution of any dispute, whether resolved informally or through arbitration, and Sunryde cannot be held responsible for any damages or claims arising from the dispute resolution process.

Arbitration Agreement

If the parties cannot resolve the dispute informally within 30 days of notice, the party seeking resolution must file a claim with Sunryde to initiate arbitration. By agreeing to these terms, both the host and renter consent to resolve disputes through arbitration rather than court litigation, except for disputes that qualify for small claims court or injunctive relief related to intellectual property. Sunryde is not responsible for the final decision or outcome of any arbitration process.


The arbitration will be conducted by a neutral, independent arbitrator based on the evidence provided by both the host and renter. The arbitrator’s decision will be binding and final, and Sunryde will not be held liable for any damages or claims arising from the arbitrator’s decision. Both parties agree to bear their own costs related to the arbitration process unless the arbitrator rules otherwise.


Host Repair Package

Sunryde offers hosts the option to purchase a Repair Package for an additional fee, designed to cover labor costs related to repairs of vehicles damaged by renters. This plan does not constitute an insurance policy and does not cover the cost of parts, which the host must purchase separately. The Repair Package is intended to limit out-of-pocket expenses but does not guarantee full protection against all types of damage.


The host acknowledges that Sunryde is not responsible for any damages caused to the vehicle by the renter, and by purchasing the Repair Package, the host agrees that the plan only covers labor costs and that they remain responsible for purchasing parts. Sunryde does not guarantee the repair or replacement of any vehicle components, nor does Sunryde guarantee that damage to the vehicle will be fully resolved by this package.


Theft and Loss Liability

In the event that a host’s bike or scooter is stolen or goes missing during the rental period, Sunryde will provide assistance by offering GPS tracking services. However, Sunryde does not guarantee recovery of the vehicle or compensation for any loss. Both the host and renter agree that Sunryde is not liable for any lost or stolen property, and it remains the responsibility of the host to ensure proper protection and security measures are in place. It is recommended that hosts obtain additional insurance coverage to protect against theft or loss.


Limitations of Liability

Sunryde is a service provider facilitating the use of a peer-to-peer bike or scooter rental platform and is not liable for any damages, losses, or injuries sustained by either the host or renter during the rental period. The host and renter agree that Sunryde is not responsible for any property damage, personal injury, or financial loss arising from the use of the platform or the actions of the renter, host, or third parties.


Finality of Dispute Resolution

Both the host and renter agree and accept that Sunryde is not responsible for the final outcome of any disputes and that any dispute resolution facilitated by Sunryde, whether informal or through arbitration, is not binding upon Sunryde in any legal capacity. Sunryde’s role is limited to providing a platform and tools for facilitating transactions between hosts and renters.


Cancellations and Refunds

Cancellations are subject to the cancellation policy applicable at the time of booking. Both Owners and Renters must review and agree to the cancellation terms before confirming any reservation. In the event of a cancellation, the following rules apply:


• Cancellations made by Renters within [insert hours] of the rental period may be subject to a fee.


• Cancellations made by Owners may result in the full refund of any fees paid by the Renter.


• Sunryde reserves the right to mediate disputes over cancellations and refunds, but the final decision will be made based on the platform’s policies and applicable laws.


Termination

Sunryde reserves the right to suspend or terminate your account at its discretion, including but not limited to violations of these Terms, illegal activity, or misuse of the platform. Upon termination, you will no longer have access to the platform, and any pending transactions may be canceled.


Liability and Disclaimers

To the extent permitted by law, Sunryde provides the platform "as is" and disclaims any warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sunryde does not warrant that the platform will be error-free or that any defects will be corrected.


You agree that Sunryde is not responsible for any damages, losses, or injuries that occur during the use of a rented mobility, including but not limited to personal injury, property damage, or legal violations.


General Provisions for Sunryde


1. Termination You may discontinue your use of Sunryde services at any time. Sunryde reserves the right to terminate your access to the platform and remove any listings for any reason, to the extent permissible by law. Termination does not relieve you of any obligations or liabilities incurred before termination, including any fees, claims, or damages resulting from your use of the platform. Sunryde may retain and continue to use any data, including photographs, that you have provided before termination. The provisions related to liability waivers, indemnification, and dispute resolution will remain in effect even after termination of the agreement.


2. No Vehicle Transfer or Assignment Listing a bike or scooter on Sunryde does not constitute a transfer or assignment of ownership or any legal rights to the renter. Hosts retain full ownership of their bike or scooters, and renters are only granted temporary use according to the terms of the rental agreement. Sunryde provides a platform to facilitate this sharing but does not transfer ownership or liability.


3. Disclaimers Sunryde provides a platform for sharing bike or scooters between hosts and renters. Sunryde does not provide any warranties regarding the safety, condition, or roadworthiness of the bike or scooters listed on the platform. Bike or scooters are offered "as is," and Sunryde is not responsible for any mechanical issues, malfunctions, or damages that occur during the rental period. Sunryde also makes no guarantees that the platform will be uninterrupted or error-free, nor does it guarantee the quality or accuracy of listings, bike or scooters, or user interactions.


4. Limitation of Liability: To the fullest extent permitted by law, you waive and discharge any rights to bring claims against Sunryde for any damages, losses, or injuries arising from your use of the platform, including issues related to bike or scooter availability, safety, or condition. Sunryde is not liable for any incidental, consequential, or special damages, including lost profits, vehicle damage, or legal issues between hosts and renters. Sunryde’s total liability, if any, shall not exceed the amount you paid or earned through the platform in the twelve months preceding the event giving rise to the claim, or $100, whichever is greater.


5. Indemnification You agree to indemnify, defend, and hold harmless Sunryde, its officers, directors, employees, agents, affiliates, and service providers, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including, without limitation, reasonable legal and accounting fees) arising out of or related to:

  • Your use of the platform,
  • Your interactions with other users,
  • Your breach of these Terms or any applicable law or regulation,
  • Any intellectual property disputes arising from content you upload, post, or share through the platform,
  • Any third-party claims arising from your actions or inactions,
  • Any damage to or theft of any vehicle or personal property,
  • Any disputes arising from your transactions on the platform, including, but not limited to, disputes between hosts and renters.

This indemnification obligation applies regardless of whether the claim arises from your negligence or misconduct and includes claims brought by third parties.

6. Force Majeure

Sunryde shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, strikes, labor disputes, government regulations or restrictions, pandemics, fires, floods, power outages, interruptions in telecommunications or internet service, or other causes beyond the reasonable control of Sunryde (each a "Force Majeure Event").

If a Force Majeure Event occurs, Sunryde’s obligations under these Terms will be suspended for the duration of the Force Majeure Event, and Sunryde shall not be held liable for any delay or failure to provide the Services during that time.


7. Not a Rental Company Sunryde is not a rental company and does not own a fleet of bike or scooters. The platform allows individuals to share their personal bike or scooters with others for short-term use. Sunryde does not provide traditional rental or leasing services and does not assume any liability for the vehicles listed on the platform.


8. Governing Law These Terms and the Agreement between you and Sunryde will be governed by the laws of the state of California, without regard to its conflict of law provisions. By using Sunryde, you agree that any disputes or claims will be resolved in accordance with the Dispute Resolution section and waive your right to bring claims against Sunryde in a class action or representative action.


9. Severability and Non-Waiver If any provision of these Terms is held to be void or unenforceable, the remaining provisions will continue in full force and effect. The failure of either party to enforce any provision of these Terms will not be construed as a waiver of that provision or any other provision, nor does it affect the right of either party to enforce that provision at any time in the future.
